3.1 Course Enrollment

When you enroll in a course on NovaLearn, you are granted a limited, non-exclusive, non-transferable license to access and view the course content. You agree not to share, reproduce, or distribute any course content without the express written permission of NovaLearn.

3.2 Content Ownership

All content on NovaLearn, including course materials, videos, text, graphics, logos, and software, is owned by or licensed to NovaLearn and is protected by copyright and other intellectual property laws. You acknowledge that you do not acquire any ownership rights by accessing or using NovaLearn.

3.3 User-Generated Content

You may have the opportunity to submit content to NovaLearn, such as comments, forum posts, and assignments ("User Content"). By submitting User Content, you grant NovaLearn a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to submit User Content and that your User Content does not infringe upon the rights of any third party.

4. Payments and Refunds

4.1 Fees

Enrollment in certain courses may require payment of fees. NovaLearn reserves the right to change its fees at any time. Any changes will be effective immediately upon posting to the NovaLearn website.

4.2 Payment Methods

You agree to provide valid payment information and authorize NovaLearn to charge your payment method for all applicable fees. We accept payments via major credit cards and PayPal.

4.3 Refund Policy

NovaLearn offers a 30-day money-back guarantee for most courses. If you are not satisfied with a course, you may request a refund within 30 days of enrollment. Refunds will be processed to the original payment method. Certain courses may have different refund policies, which will be clearly stated on the course page.

5. Termination

5.1 Termination by You

5.2 Termination by NovaLearn

NovaLearn reserves the right to suspend or terminate your account and access to the platform at any time for any reason, including, but not limited to, violation of these Terms, unauthorized use of the platform, or fraudulent activity.

5.3 Effect of Termination

Upon termination, your right to access and use NovaLearn will immediately cease. NovaLearn shall not be liable to you or any third party for any termination of your account or access to the platform.

6. Disclaimer of Warranties

NOVALEARN IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NOVALEARN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NOVALEARN DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NOVALEARN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE NOVALEARN; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM NOVALEARN; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH NOVALEARN; (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT; OR (F) ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

8. Indemnification

You agree to indemnify, defend, and hold harmless NovaLearn, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of NovaLearn, your User Content, or your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or relating to these Terms or NovaLearn shall be instituted exclusively in the federal or state courts located in San Francisco, California, and you irrevocably submit to the jurisdiction of such courts.

10. Changes to Terms

NovaLearn reserves the right to modify or revise these Terms at any time. Any changes will be effective immediately upon posting to the NovaLearn website. Your continued use of NovaLearn following the posting of changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.

12. Miscellaneous

You may not assign these Terms without the prior written consent of NovaLearn. NovaLearn may assign these Terms without your consent.
